Terms of Service
1. Acceptance of Terms
By accessing or using the Stratum platform, including the Shipr batch shipping tool ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Stratum provides a suite of software tools for garment decoration and print shop management, including:
- Shipr — Batch shipping and ShipStation integration
- Quote — Quoting and estimation tools
- Customers — Customer relationship management
- Orders — Production queue management
Each application may be used individually or as part of the Stratum Suite.
3. Accounts and Registration
You must create an account to use the Service. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your password and account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription and Billing
Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions are billed on a recurring basis (monthly or yearly) and will auto-renew unless you cancel before the next billing cycle.
We use Stripe to process payments. Your payment information is transmitted directly to Stripe and is not stored on our servers. You agree to Stripe's terms of service.
Refunds are handled on a case-by-case basis. Contact [email protected] for refund requests.
5. Third-Party Integrations
The Service integrates with third-party platforms including ShipStation. When you connect a third-party account:
- Your API credentials are encrypted at rest using AES-256 encryption
- We access only the data necessary to provide the Service
- You are responsible for complying with the third party's terms of service
- We are not responsible for the availability or accuracy of third-party services
6. Your Data
You retain all rights to your data. We do not claim ownership of any content you upload, create, or store through the Service. You grant us a limited license to process, store, and transmit your data solely to provide the Service.
You may export or delete your data at any time. Upon account deletion, we will remove your data within 30 days, except as required by law or for legitimate business purposes (such as fraud prevention).
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to other accounts or systems
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without written permission
- Exceed your plan's usage limits through automated means
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. Enterprise plans include SLA guarantees as specified separately.
9. Limitation of Liability
To the maximum extent permitted by law, Stratum and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.
Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Stratum, its operators, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a reasonable retention period.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law provisions.
